Lisio Vote: All in Favor Mr. Hewig entered the meeting and all present were introduced to him. Mr. Hewig passed out handouts on the negotiation and ascertainment process for the cable license renewal. The cable license expires in September 2017. Mr. Hewig stated negotiations are basically for funding. Programming and rates are not negotiable; Programming is determined by the market. The license can be denied for two reasons: 1) The provider is not in compliance with the current license after notice and opportunity to cure and 2) The provider has not met reasonable community demands from the town. One goal of this committee will be to ascertain what the town needs over the next ten years. Requests should be "cable-related, "such as equipment, a remote drop site, studio etc. Mr. Hewig asked the committee to consider if an educational channel is desirable as the town does not have one currently. Does the committee want and educational channel based at the new school? This could be a training opportunity for students as well as a center for community volunteerism/events. Mr. Hewig advised conducting a survey of subscribers to hear what they want. He presented several samples from other towns. He also advised contacting department heads, committees and boards, and community organizations etc. to see what their cable-related needs are. He encouraged the committee to invite the public to their meetings to get feedback. Main concerns to keep in mind are customer service and signal quality. In summary, the committee will need to hold one public hearing at some point, determine what the town needs will be going forward over the next ten years, and present a business plan with a proposed annual budget for negotiating purposes. ===PAGE 2=== Motion: J. Preview Questionnaire Responses from Town/School - Committee reviewed municipal responses from Adam Burney, Planning Director; Jack Rodriquenz, DPW Director, Susan Doherty, Council on Aging Director; Patrick Sullivan, Fire Chief; Mike Sauvageau, Building Official; Victoria Whipple, Middle School Library Media Specialist and Jennifer Biery, LHS Field Hockey Coach. The Committee noted the following recommendations/needs based on responses received: a. A wider range of meeting rooms wired for sound and video. b. Equipment to allow for participation by committee members remotely. c. The ability to broadcast public informational sessions by various departments. d. Mobile equipment/capability. e. Portable wireless microphones. 2. Review Town wide Survey Draft - Committee reviewed draft survey created on Survey Monkey. Steve Walker suggested modifications to the age brackets in question 1. Questions 7-10 were modified to include a reference to programming on the public access channel. The Committee voted unanimously to release the survey with minor modifications. A link to the survey will be available online and printed surveys will be available at the Town Hall, Library and Senior Center. Tom Alonzo will check with Kerry about including either a reference to the survey or the actual survey in the tax bills. Citizens will also be notified of the survey via the Lunenburg Ledger and the Scroll on the public access channel. Survey responses will be collected for 30 days following distribution. 3. Review PACC budget Updates - Steve Walker informed the Committee that PACC is working on the budget and business plan and hope to have a draft in February. Years ago as we completed the DP W renovation and offered an open house/big truck night the station was utilized for invitational purposes. I have also on one occasion advertised an open position here that was left unfilled for a time. -ApH to I do not have any current plans to use the services however I can see value in the following: Seasonal informational sessions with a member of your staff in a one on one discussion of upcoming projects. Specifically, CP requests with justifications, anticipated roadway and/or paving projects, schedules such as the opening of the landfill area for yard waste, and street sweeping schedules as an example. I would find it useful to answer questions and concerns in a situation where viewers could digest the information and frankly would not have the opportunity to shoot criticisms quickly as a knee jerk reaction. Now I would like to have members of that organization consider providing a liaison to each department enhancing familiarity and communication. Tom, if this is not on point please suggest how I can be more helpful. A wider variety of meeting rooms wired for sound and video would allow for various meetings to be more appropriately filmed. For instance when the Planning Board is working on regulations, Bylaws or other policies that have limited public attendance it would be more functional to sit around a table and discuss the items rather than be on the dais looking down the line at one another. Paula asked Attornev Hewig if it is necessary to have to another hearing after receiving the proposal from Cable. Bill indicated we should already have a binder with a proposal that has a check in it for $100 - we need to locate, Heather will investigate. Attorney Hewig will be in attendance at the hearing, the hearing needs to be advertised 2 weeks in advance. Attorney Hewig emphasized that at the hearing we need to show support of our proposal from the Community - he suggested various advertising options: Scroll Bos Announcements Public Notices in gathering places Emails to various departments He added that If Departments have needs then we should ask them to attend (schools etc.) There are 2 main purposes of the hearing: • Identify Towns future community needs • Members of the Public to tell us if in compliance with current license - very important part of ascertainment. For example are there parts of town where signal quality is very poor, if there are people should be encouraged to come in and tell them. That's a violation of FCC's standards and one of the ways the municipality can say no to the renewal license is if they are out of compliance with their regulations (this can be a significant negotiating tool). The standard notice states people are encouraged to attend and let us know their concerns. Another issue is customer service, that is a compliance issue as well. Regulations require vendor to comply with 90% of the calls within 90 seconds. Attorney Hewig stated we need to review how much money is needed to run the cable access on an annual basis and then give ourselves a little leeway. Tom suggested providing Comcast with our proposal the night of the hearing. Paula stated that she believes we should wait to give them the proposal until at least a few days after the public hearing as issues may arise at the hearing that should be incorporated into the hearing. Paula questioned if the INET system currently running? Tom did not believe INET is in the current contract. Reviewed contract and in Exhibit B there are 10 sites. Need to verify with Steve Malandrinos that we are not using the INET and what we are doing for interdepartmental data transfer. Attorney Hewig stated that Comcast is no longer wants to be responsible for INET and will want to buy out. Steve Walker asked if we can we put in a minimum, Hewig responded that the Cable companies are not doing that anymore, typically based on percentage per subscriber. He added that it is not unreasonable to go up 5%, however it will result in modest increases in monthly subscriber bills. On bill there is a license fee which is the 2.5% as noted on the statement that we receive from Comcast Attorney Hewig said we should provide Comcast a copy of the business plan that identifies the amount of increase we are seeking. He asked if the proposal has a breakdown of equipment? Steve Walker said not yet because PACC doesn't know configuration of space and the timing of it. Tom Alonzo we have to make assumptions. Steve said they have used industry standard of cost per foot for a 2600 s.f. studio. The committee felt that the proposal would be stronger if we could itemize equipment needs, Steve will ask current vendor to estimate equipment. Attorney Hewig instructed us to notify Comcast in writing as soon as possible of public hearing date. Hearing will take place in high school auditorium, we can do live fee or chose not to. Committee discussed a live show versus taping and decided against a live feed to encourage people to attend. Plan Next Steps in Renewal Process If Heather is unable to locate the binder, Bill Hewig will contact Comcast. The next meeting will be on 5/17/17 there is a PAC meeting on 5/8/17. Attorney Hewig will review the draft business plan and provide comments to Tom Alonzo. Tom will send letters to Comcast about public hearing and various reports that we have requested. We will meet at 6:30 on the 18t , and commence the hearing at 7:00. Tom will follow up with Steve Malandrinos about the Inet. Paula will draft an email to departments about the public hearing and forward to Heather for distribution to departments. Tom will send public notice to Elaine for printing in the Ledger. Committee discussed what happens after we give them the business plan, Bill Hewig responded that then we are ready to sit down and start talking to them. The Fire Chief gave an overview of how the department is currently utilizing Comcast and how they anticipate using it in the future. Final review of PACC Business Plan - Steve Walker discussed INET and had askee Steve Malandrines about dark fiber who suggested that 100 up 100 down in 10 places would be preferable. Cost would be over $720,000 over the course of the 10 year contract, ($600 per month per site). Tom Alonzo noted that we do not have INET in the contract; unfortunately it was left out of the contract. Steve outined the assumptions and requests in the business plan. He suggested that in place or iNET we wsk Comcast to provide fiber drops. Tom Alonzo reiterated that we do not have INE! and he belleves inar it 3 unlikely that we will be able to negotiate Comcast to provide it, he will talk with Atiomey Hewig. CURRENT BUSINESS Negotiations with Comcast on new cable contract - Attorney Hewig asked if a copy of the hearing transcript was available. Mr. Franks responded that it is not yet available and he will investigate. Mr. Franks indicated that he does not yet have a copy of the business plan, he was provided a printed copy during the meeting. He also requested a copy of the presentation given at the hearing, Steve Walker will forward an electronic copy of the presentation. Mr. Hewig reviewed our list of requests: The proposed 10 year budget incorporates a new part time staff person in 2018 and another in 2020, additionally Lunenburg is looking for 5% gross arinua! revenues; which represents approx. $200,000 per year. Lunenburg currently receives 2.5%; approximately $100,000. Our annual operating cost will come from that and our captal needs will be set aside. Capital needs are outlined in the business plan. We are looking for $240,000 in capital, üe current license is for $115,000. We are also seeking a third channel to be used lor education within " years. The capital request is for a full function studio, we do not yet have a location although it may be at the high school. Currently it is in the old elementary school. Page 9 of the business plan oudine: the capital needs. Our capital request is very constrained and realistic based on the community's needs. We are also seeking HD programming and inclusion of PEG programming in the guide. Tom Alonzo added that the previous contract included INET. The Town utilizes Corcert for networking of all of our buildings; we have Comcast business coax lines. In our proposal we requested 200 MES up and down and provided a list of the 10 buildings (Town Hall, Ritter, Senio: Center, library eid elementary, middle high, primary, middle, public safety and public works). ===PAGE 2=== Mr. Franks responded that the lead concern Comcast has regarding this type of proposal is the cost of services; this request will raise the cost on subscriber bills. The subscriber base has been levei in Lunenburg unlike some community's. Comcast wants to be careful about driving people away from the service. Current franchise related cost (FRC) is $.36 per subscriber. High interest: (11%) on capital costs - FCC allows this. On just capital without interest it is $.28 - it would increase the franchise fee from 2.5% to 5% on each bill and the FRC cost woud be approx. Ş.75. Mr. Hewig responded that the Town is looking for a state of art studio, the need and the demand are there. Our view is that subscribers would be willing to pay a modest increase for a state of the ari studio and the related capital needs. Tom Alonzo noted that at the hearing people complained about the cost for the services being provided as it relates to other aspects - not the PACC proposal. The citizens are looking for more programming, with the construction of the new school there is a strong need for the educational channel. These are the drivers from the community. Mr. Hewig commented that the transcript from the hearing would be helpful. His notes from the hearing indicated that there were complaints are about picture quality, audio and service outages. Mr Hewig said that a good case has been made for the increase in capital and in services. This proposal and the work that has been done in Lunenburg has come a long way over the ten year period, we now how to produce quality programming and will make the relationship between Comcast and the community more valuable. Mr. Franks indicated that Comcast is not offering HD PEG anywhere yet; assumption is that at some point they will start doing it. He said he can offer a side letter that when HD PEG channels are offered and a certain number of subscribers have HD programming then will negotiate in good faith. He cannot offer it in the contract. Bill Hewig commented that East Longmeadow has HD PEG, what were the circumstances; it is a little mysterious as it is not in their contract. Mr. Franks responded that it is a different service region, they gave up a standard PEG channel in exchange for the HD channel he is not sure if they are testing it yet. Tom Alonzo asked what is the issue? Why not simply state in the contract that when HD PEG is available the contract will be re-negotiated? Vir. Franks said that there are a number of issues; where it fits on the quam (collection of virtual channels); how much bandwidth does it take up; (if it were offered in every town the regional network might have bandwidth issues). Tom noted if every community had 3 HD channels it would be 1000 channels, should not be a huge bandwidth issue. Mr. Franks said that the Comcast head engineer has indicated that they have to figure out how to make space for it. Additionally is not a money maker for Comcast, so they are reluctant to do it. Everything is "jammed together" at the head end. Discussion then centered around a programming directory. Gregg Franks said that this would be difficult, each community shares a channel map with other communities. He said that Comcast could include "government channel". Steve Walker responded that we really want the content on the directory. Gregg reiterated that he cannot offer an electronic programming guide by a certain date. Bill Hewig asked if he would be willing to do you do side letter for EPG? Gregs said he will work on that. ===PAGE 3=== Tom asked again what was the point of side letters, why would Comcasi be unwilling to put these items it the contract? Mr. Franks said that because there isn't anything that we can promise to you by a specific date. Mr. Alonzo said the he does not want it to be a side letter, he wants it to be in the contract that if and when it is available then it will become available to Lunenburg. Mr. Franks again stated that he cannot offer it in the contract, the letter means something, it does mean Comcast will negotiate in good faith. Bill Hewig asked about the wording in the side letter. Mr. Franks said that they are very detailed and sets out the minimum criteria that the company would consider for implementation. He added that his hope is that eventually he will be able to offer HD PEG. Mr. Franks will send a copy of the HD Peg letter and EPG letter to Bill Hewig. Mr. Hewig noted that the Town would like a video return line from the high school to the Town Hail, which is about ½ mile. Currently the only video remote site is the Town Hall although it is possible to broadcast live over the internet from the middle school. Mr. Franks said that this could be provided as a courtesy but that he can look into getting a good deal on it. The fact that Lunenburg currendy utilizes business services will make the requested increases much more palatable. Currently between the town and school Lunenburg is currently spending about $3,000 per month on business services. Gregg Franks said that he has a bi-weekly call with his boss tomorrow and he will see what he can work out, he is sure that Comcast can offer more than what is currently in the proposal. He will provide sample side letters and will get an estimate on the video return line (may be less than $10,000). Bill Hewig noted that he did not see liquated damages in the contract and would like to see that added, Greg Franks will add that. Tom Alonzo asked if the addition of the 3'd channel is going to be an issue; Gregg Franks responded that Comcast will want to know how we are filling up the current channel. Steve Walker noted that currently we have our channel 8 and 9 and also have Leominster educational channel so clearly it is not a bandwidth issue. Gregg Franks asked if we wanted to schedule another meeting? Meeting was scheduled for August 7, 2017 at 6:00 pm. At this point Mr. Franks left the meeting. Bill Hewig commented that he believes Lunenburg will be able to obtain the funds requested in our business plan, or close to it; he noted that the amount of individual subscriber bill increase is small. If we are able to demonstrate a need and show that we are going to spend it responsibly then Comcast will be receptive. The committee then discussed the side letter issue. Mr. Hewig noted that he has not been able to incorporate these issues/requests into the contract in other communities, the side letter is probably going to be the best that we are going to be able to get. If current proposed legislation passes regarding HD then they will have to provide. Minutes/Correspondence Tom Alonzo asked if Bill Hewig had received the two side letters, one for HD PEG and one for EPG. Grea had forwarded them to Attorney Hewig, unfortunately neither Greg or Bill had them, Bill will forward them to the Committee electronically. Tom Alonzo questioned the cost of current internet connectivity. Greg Franks asked for specific addresses so he could provide the information. Tom pointed out that the locations are currently in the existing contract, Tom amended the school information; and removed 1033 Mass. Avenue Tom asked if Mr. Franks had reviewed the business plan, Mr. Franks said he read it and talked with hit superiors and Comcast has a counter offer: 4.5% PEG fee $120,000 Capital Comcast will construct video return line from the high school Bill Hewig expressed concern with the capital offer; the current license gave Lunenburg $90,000 and $25,000 for a total of $115k. Part of that was an advance payment coming out ol the 2.5% it was $25,000 up front. Mr. Franks said he need to verify that there is a hub somewhere that takes the signal to the head end Steve Walker responded that there is a hub in the cable room; 2 channels only. Paula, asked about the request for the 3° channel? Mr. Franks said Comcast might be able to accommodate a third channel if we could come to agreement on the other points. ===PAGE 2=== Bill Hewig said that the capital proposal is too short, one of the things the PACC is doing is building the capital it into the budget; they could have put into retained earnings. Based on the plan, even the $240,000 requested is not enough. It was really an offer made in good faith; Lunenburg is asking for what is really needed. Lunenburg might agree to come down if they could get 5% and then make up the difference over time. Hewig said that his response as Lunenburg's Attorney initially is that $120,000 capital is not enough; the 4.5% could work if the capital were increased. Mr. Franks said he may be able to move a little bit, but not sure how close he can get to $240k Hewig emphasized that these are Lunenburg's bare bone numbers...a good case could be made for asking more, but instead we gave you the lean numbers. Tom Alonzo pointed out that PACC put together the plan and spent the better part of a year on how to make it work; he added that his initial reaction is we have play on the percentage if we get closer to the capital. Attorney Hewig noted that If you add up the numbers in the proposed budget it comes up to $340,000, instead of requesting the full amount, we tried to give you something practical and realistic. He noted that the Committee is as conscious of pass through costs as Comcast; each subscriber would look at the bill and see a 2.0 or 2.5% increase in their bill; the pass through costs go from 20 to 60. It is not a big number and won't trigger wholesale outcry from subscribers. They would get a lot for a small increase; we don't want Comcast to lose subscribers but this is a small increase. He added that he is extremely disappointed in the proposed low capital amount and thought it would be closer to what we really need. Mr. Franks responded that Comcast doesn't benefit from this proposal therefore it is difficult to sell on his end. Attorney Hewig noted that this type of low capital amount is unusual, it is far more typical for Comcast to have granted more funding. It is standard practice that if you do your ascertainment and make a showing of need and it looks like the community is able to fulfill its obligations under the plan then typically the cable company is more willing to front capital. Mr. Franks noted that the subscriber base in Lunenburg has been stabie but it is not very big to begin with. He said that there may be room to move but he won't be able to sell $240k for a subscriber base of 3200. Mr. Hewig said that we need a minimum of $230K or $238K. Mir. Franks asked if we would accept the $140, committee members and Attorney Hewig unanimously said they would be unwilling to accept $140K. Tom Alonzo said that if Comcast can get the 4.5% back to 5% which would bring us to about $200,000 then we might be able to work with it. (2.5% equates to approx. $100,000). IVir. Hewig emphasized that Lunenburg went into negotiations with real numbers, and the requested funds are completely justified. Lunenburg has determined what they need and what the cost is. Tom Alonzo pointed out that viewership has been increasing because of the local programming and that it is a factor in keeping subscribers with Comcast. Attorney Hewig added that Lunenburg is worlos above where it was 10 years ago, and that as the plan indicates PACC will do a good job of investing the capital infusion. ===PAGE 3=== Greg Franks asked if all the money comes up front, would that make a difference? Steve Walker said we have to be a little careful because we are looking at new studio space if it is spread out to much we will not have what we need to outfit the studio. Tom Alonzo asked if the funds were spread out in the contract, but yet it is known money, what is the flexibility of the town budget to accommodate a studio? Heather responded that funding could be a possibility but she would have to talk with the Town Accountant about short term borrowing. Artorney Hewig noted that Comcast could make the payments uneven. Tom Alonzo said that if we could spread it out and Comcast is able to get closer to the requested $240,000 then he could deal with that, as long as the money is a guarantee. Steve Walker noted that the studio won't be done for 2 years. Mr. Franks asked what are you looking for Ethernet? Steve responded we need 200 up and down; we have our own VPN. Franks asked if is for internet access? Heather responded affirmatively. Mr. Franks concurred that there is value in connecting the 10 buildings; he will talk with his colleagues. Mr. Franks said that he doesn't have the authority to get close to what we are asking for; he has to taik with superiors. Steve asked what is the issue with the 3'd channel; we are already getting the Leominster channel? Nir. Franks reiterated that he thinks he can make that happen if it is what it takes to close the deal. Paula pointed out that with construction of middle/high school there is a real need for the educational channel. Tom Alonzo added that the school has requested the channel. Mr. Franks asked if we are currently utilizing the two channels efficiently. Jo McLaughlin responded that the channels are programmed 24/7. Mr. Franks said he would go back to his superiors and call Bill Hewig at the end of the week. Steve asked what happens if we don't negotiate the new license before the expiration of the current license? Bill Hewig answered that provided negotiations are ongoing, we can continue with the license terms in place as agreed to by both parties. The current license expires 9/3/17. Bill Hewig said that when we convened last time we talked about a senior discount side letter. Mr. Franks was surprised we do not already have one he said that Comcast will at least be able to do what they are currently doing for seniors which is $2 off basic channels. He said he can definitely do that. Mr. Alonzo asked about how soon Mr. Franks can get back to us and when the next meeting should be scheduled? Greg Franks said that he thinks Comcast will be willing to up on the percantage but he is not optimistic about the capital. Mr. Alonzo emphasized that Lunenburg subscribers have been very supportive about what we are doing and PACC has significantly expanded programming and would like to continue that. ===PAGE 4=== Mr. Franks said he doesn't disagree that Lunenburg is doing a good job; but it is tough to deal with division headquarters and it will be a hard sell. Mr. Alonzo noted that $240,000 over 20 years is $24000 a year; it is not a big number. Mr. Franks said that larger communities like Newton who has 12,000 subscribers look at what smaller towns get and that impacts their bargaining. Mr. Alonzo responded that regardless of any town's size there is a cost associated with creating a studio. Mr. Hewig commented that each community has their own ascertainment and negotiations are based on their individual needs. At this point Mr. Franks left the meeting, he will consult with his superiors and get back to Mr. Hewig and a meeting will be scheduled. Mr. Hewig informed the Committee that he had received a letter from the Department of Telecommunications informing us that if we deny license then we have lo send Corcast and the Department a letter within 14 days. Bill outlined the legal options if Comcast won't come closer to our capital needs: 1. We send them a preliminary letter of denial. 2. After receipt of the letter Comcast could request a full administrative hearing before the Selectmen which can be expensive (it is like a trial). The Selectmen acts as the judge and either reaffirms the decision to deny or votes to grant a license. 3. Any action after that would be in federal court. Attorney Hewig said that we have a legal right not to give them a license; what usually happens when you reach an impasse is the parties come back to the negotiation table. He emphasized that PACC and Committee have done their jobs and provided realistic numbers, this is logical rational stuff. Mr. Hewig said the standard in rendering a decision on an administrative hearing is did the cable company meet our reasonable request at a reasonable cost? He noted that the pass through cost for the budget proposal is .625 which equates to $.40 per subscriber which is nothing; Comcast is going to have to move as far as he is concerned. If they don't come closer then he would recommend sending Comcast a preliminary notice of non-renewal. Mr. Alonzo asked if they come back with 5% and $200,000 would that meet PACC's needs? Current Business Negotiations with Comcast on New Cable Contract - Committee discussed the most recent offer from Comcast which was received yesterday; offer is: • PEG FEE 5% • Capital grant of $130,000/10 years • Video return line from high school at Comcast's expense • Third channel within two years of the effective date This proposal does not meet our needs. Bill Hewig outlined that one option available is to request that the Board of Selectmen send them a preliminary assessment of denial, which gives us more time to negotiate and may put more pressure on Comcast. We have to send correspondence into the Department of Telecommunications and Cable letting them know we are continuing to negotiate and the extension should be granted. If negotiations don't produce results then there would be a hearing before Board of Selectmen, if Selectmen uphold the decision then it goes to Board of Telecommunications and Cable Committee discussed how capital is paid. The license fee is the percentage of gross annual revenue and then the franchise fee is all other costs and includes capital. At this point Mr. Franks of Comcast joined the meeting. Mr. Hewig explained that the offer is way too low and we were hoping for a lot higher. Mr. Franks responded "If I give you $240K I would have to reduce franchise fee to 1%". Mr. Hewig said that doesn't help, he was hoping that Comcast could get to higher numbers by doing it incrementally; that would reduce the amount of cost to subscribers and keep the pass through costs low. We are asking to go from $.24 to $.60, which is a small amount. The question at hand is the standard of review the Town's responsibility during ascertainment is to identify the future cable related needs. We think our request is reasonable and we are meeting our part of the bargain; what is the resistance from Comcast? The numbers don't seem to be that big. Mr. Franks responded that it is actually a very good offer, they have to look at the "big picture" and this offer is much higher than the City of Marlboro last year. The increase in the percentage fee equates to two million over the course of the license. He believes any administrative court will uphold Comcast's offer. ===PAGE 2=== compare one Town to another, it is not fair and is not rational. That is not how the cable act works; it works by showing your own community's needs. You said you came to the table with a realistic and reasonable offer; you are obligated to meet the Town's future cable related needs considering the cost. You need to be able to justify why you are not responding to our needs. We are reasonable we have considered the costs. I've just told my committee that if we can't get more capital then I am going to recommend that the Selectmen petition for a 60 day extension to begin the process of commencing a letter of preliminary non-renewal. I haven't ever done that because I haven't really believed we had a good enough case to win this but in this case we do. Mr. Franks responded "Understood." Mr. Alonzo emphasized that we need to provide the services that the citizens have requested; people are asking for the education channel. That is what the people are asking us to do and it my job is to fight for what they want. Mr. Hewig said the he gets some plans that ask for the moon, this plan is good and it is actually less than what we need. He told Mr. Franks that if he can move on these numbers than we want to hear it; Mr. Franks responded that is the best offer he can provide. Mr. Hewig recommended that the Committee report out to the Board of Selectmen that we have not succeeded in negotiations to date and Counsel is recommending that the Board petition the Department of Telecommunications and Cable (DTC) for a 60 day extension in which the Town will begin the process of filing a preliminary letter of non-renewal. He added that the hope is that during the 60 day extension period we can come to successful resolution. Paula so moved; Steve seconded. Voted unanimously. Mr. Hewig told Mr. Franks that he appreciated the offer came up to 5% and the offer of the video return line; but we have made a case for the capital. This Community has a vision for the future that benefits Comcast, We are in a partnership. At this point Mr. Franks left the meeting. Committee discussed plan moving forward. The Town Manager will place this topic on the Selectmen's September 19t agenda. If the 60 day extension is granted, we will have until about November 4th to continue negotiations; if the extension petition is not granted we will have to issue a preliminary assessment of non-renewal. If after 60 days we can't renegotiate and the Board of Selectmen vote to deny renewal Comcast can take us to DTC for a hearing, which is similar to a trial. Mr. Hewig informed the Committee that he has never been to DTC and he never seen Comcast behave like this before. Mr. Alonzo noted that our viewership went up, he would love to know in other Towns what their subscriber base is; Comcast is making about 32 million per year on Lunenburg subscribers. Bill Hewig said that during negotiations we always talk about the value of pass through, he has SVEN & FIELD Mr. Alonzo said that in his opinion two years for the third channel is ridiculous. Paula asked if Attorney Hewig could have the letter to DTC prepared for the meeting on the 19*. Attorney Hewig agreed to provide the letter in advance of the meeting on the 19*. Attorney Hewig said he will reach out the Mike Gale, DTC attorney about the possibility of mediation. Committee briefly talked about what we are arguing about; the difference between what we are requesting and what Comcast is offering equates to $11,000 per year. The pass through cost to the subscriber is actually about .32 cents on a monthly bill. Comcast's unwillingness to invest in the system severely impacts our ability to meet the needs of the Community. Committee discussed the possibility of seeking some initial capital infusion in a lump sum and then adding the remaining capital to the subscriber bills. Steve noted that there are some unknowns in the business plan regarding the studio; we don't know the size of the space, condition etc. We may be able to come down on our request. Reducing the fee structure (the 5%) impacts operational expenses; bringing it down to 4.85% it is not very noticeable overall and may make the capital request more acceptable. Attorney Hewig said he reviewed a couple of licenses to see if we were being unreasonable; looked at Woburn, Malden, Acton, Lancaster, looked at size, what they received for capital, how many channels, franchise fees and on what date it was done. Of all the fees, the lowest was Woburn was at 4.625...at least two were 5%, Fitchburg and Acton. Attorney Hewig noted that we need to stay firm on our fees for operational reasons. Looking at capital, Acton received $366,000 with 22,000 people in town; Fitchburg with 40,0000 people received $375,000. Woburn received $160,000 Marlboro $156,0000. The average is $100,000 per 10,000 in population. Lancaster with a population of $8,000 received $50,000 in 2008. Jo McLaughlin pointed out that it is actually Lancaster and Sterling; they have 2 contracts that are done simultaneously; we don't know what Sterling received. Based on this data, our number appears on the high side...we need to find a compromise; Comcast offered $140,000. The business plan calls for $300,000 in capital and projects operational costs at $200,000 annually. If we reduce the franchise fee from 5% to 4.5% that equates to $180,000 per year. Steve Malandrinos met with one of the Comcast Reps recently to talk about fiber. Steve told the Committee that Metro E is a factor of 10 compared to what we are paying now. We currently have business coax. Mr. Malandrinos said that the Coax is unreliable; public safety was up and down yesterday, and the DPW was up and down recently as well. The upload bandwidth limits us a lot, the only way to get what we need is to go fiber. Heather Lemieux said she received a call from Greg Franks Monday and he was asking if we would meet with a service rep again to talk about bundling phone and internet to get the company more amenable to our request. Heather and Steve Malandrinos will coordinate a meeting. The Committee discussed various options to present to Comcast that would meet the operational needs of the PACC and may be amenable to Comcast. Tom Alonzo said that he believe that Comcast may not be willing to increase the franchise fee is because they are concerned they might lose subscribers. He suggested the possibility of offering a percentage per subscriber; possibly $75 per year per subscriber, which works out to $.62 per month. Paula pointed out that is a large number than we had originally requested and we still need capital up front. The Town Manager requested that we hold off making these offers until the second meeting on Fiber/phone service is held. Committee then discussed the side letters. Steve Walker suggested that we add to the side letter regarding high definition that we must be part of the 1st group in Massachusetts and that we are collocated with our broadcast channel. Steve noted that we do need simulcast in standard definition for those that don't have hd. He added that WBIN is no longer broadcasting on 1011 so that channel is available. Regarding the educational channel the offer from Comcast is that they will added in 2 years. Mr. Walker pointed out that we are ready now; he would like language in the side letter stating we need to assess in 90 days. Currently the Leominster educational is on channel 99 in standard definition and could be available to Lunenburg. Paula said that she does not agree with doing a side letter on an educational channel; we should be asking for it now. Tom agreed it should be done within the 1st vear. We should be part of the 1st group in Massachusetts to obtain the electronic program guide and we should incorporate that this will be assessed in 1 year. Heather will let Tom know after she and Steve M. meet with Comcast so that he can contact Bill to begin negotiations. jo McLaughlin suggested that we should still go with the $240,000 and 5% fee as our first offer. Current Business Bill Hewig presented Comcast's counter offer; they are offering $170,000 capital and 4.75% annual revenue. Tom Alonzo and Bill Hewig discussed and countered with $170,000 and 5%, which translates to a substantial amount over the ten year period. After calculating the actual revenue over the 10 year period, this offer ends up being less than the initial offer. Comcast has agreed to the counter. Over the life of the contract revenue is about $2 million. Steve walker questioned if the agreement will be retro-active to the initial expiration of the last license. Mr. Hewig responded that usually they are not, we will most likely end up with a new start to the contract. Mr. Walker asked if the $170,000 will be a lump sum or distributed over a period of time. Mr. Hewig answered that it is probably up to us. Steve Walker commented that PACC would need funding to start up a new studio and would prefer a lump sum. Mr. Alonzo said he would be agreeable to a distribution of 50% the 15 year and the remaining 50% in the second year if Comcast is not willing to do one lump sum. Mr. Hewig, responded that it may be difficult to persuade Comcast to provide one lump sum, typically Comcast prefers to spread it over 10 years, usually there is a capital infusion initially and then the remainder is disbursed ½ through the contract. Committee discussed other requirements of the contract; the committee would require the video return to the high school and a 3'd channel within 2 years of the effective contract date. Steve Walker commented that if we could reduce that time frame that would be preferred as PACC is ready. Paula made a motion to accept Comcast's offer of a Capital grant in the amount of $170,000; to be distributed 50% in the 15 year and the second payment within 2"° or 3' year, and a PEG fee of 5%. The video return line from the high school and the 3rd channel shall be completed within 2 years. Steve Walker seconded, passed unanimously. Committee confirmed with Mr. Hewig that we will be seeking three side letters, on the following issues; • Senior pricing • 3rd channel • High definition and program guide (epg). Committee informed Mr. Hewig they would like to see the contract and the side letters. Mr. Hewig will craft the side letters (using the Marlboro sample side letter as a guide) and forward for review. At this point Mr. Hewig ended his remote connection. Committee then discussed what they would like to see in the side letters. - ===PAGE 2=== 1. High definition Channel & EPG - A meeting to assess availability shall be held no later than 1 year from the effective start date of the contract. 2. Comcast shall insure that both high definition and standard definition are broadcast so that people with the basic package can receive. 3. EPG & High Definition - Lunenburg shall be part of the 15 group of Comcast customers in Massachusetts to receive. 4. Lunenburg channels shall be co-located with the broadcast channels. Educational Channel 1. Will request that this be incorporated into the contract rather than a side letter. 2. Request implementation of channel within one year. Committee discussed willingness to agree to two years. PACC is ready for the 3'd channel and there is strong interest in the community for this channel; the Committee will strongly advocate for the channel within 1 year; if absolutely necessary the CAC will reluctantly agree to two. Steve Walker indicated that currently PACC is able to broadcast from other locations using vpn, this functionality has been tested in the high school auditorium but has not been in tested other locations as of yet. Current Business Discuss Comcast contract proposal - Tom indicated we would be discussing the two side letters received from Comcast and their proposed counter offer. Bill Hewig had sent the committee's counter offer via email to Greg Franks of Comcast (minutes of 12/18/17). Comcast's counter offer is to: (1) Pay 50% of our $170K capital in year 1, and the balance 2 or 3 years later; RECEIVED & FILED (2) Construct a fiber video return line to the High School, or a digital upgrade, but not both; (3) Convert the Leominster channel to Lunenburg E channel; and MAR 27 2018 (4) Give a Standard Senior Citizen Discount side letter [see attached sample letter] MINENRURG TOWN CLERK OFFICE The Committee questioned what the proposed digital upgrade is? Mr. Hewig was not aware what Comcast was referencing, a call was made to Steve Malandrinos who indicated he was not aware what was included in a digital upgrade. Mr. Malandrinos added that currently the upload speeds at the high school excellent, he is not sure we need the video return line. The Committee asked Mr. Malandrinos about upload speeds at the Ritter, Library, and Eagle House capacity. Steve responded that those locations don't have upload capacity - 10 or 15 mb sufficient to push to Town Hall, these sites have potential for SD but not HD. Paula Bertram made a motion to authorize Tom Alonzo/Bill Hewig to contact Comcast to determine what is included in the digital upgrade and what would the Town be required to purchase to comply. Steve Walker seconded, passed unanimously. The Committee then discussed the two side letters offered by Comcast. Attorney Hewig pointed out that side letters are not a legal obligation. The Committee had requested: 1. A meeting within 1 year to assess the availability of HD/EPG for PEG; 2. Should HD for PEG become an option, Comcast will not withdraw SD for those customers still wanting it; ===PAGE 2=== Committee discussed potential impacts to customers with the removal of SD channels. Tom Alonzo pointed out that all issues will be discussed and reviewed, when HD becomes available and at that time Lunenburg could insist on SD. The Committee was agreeable to a meeting in two years to discuss HD/EPG. Following discussion the Committee found that the terms of the side letters are acceptable. Bill Hewig will work with Comcast to draft. The next time the committee meets it should be to approve contract terms and recommend acceptance to the Board of Selectmen. Current Business Discuss Comcast Contract Proposal - Committee discussed latest contract proposal from Comcast. The proposed contract includes the following: 1. Capital of $170K 50% to be paid in year 1, 25% in year 2 and the remaining 25% in the third year 2. 5% of the Subscriber Fees 3. Construct a fiber video return line to the Middle/High School within 2 years. 4. Convert the Leominster channel to Lunenburg channel within 2 years In addition Comcast has provided two side letters regarding: 1. Standard Senior Citizens Discount 2. High Definition Programing Tom Alonzo reviewed the option of a fiber video return line or digital upgrade and determined that the digital upgrade didn't make sense. Steve Malandrinos informed the Committee that the video return line will come into the head end room at the Middle/High School. Steve Walker made a motion to recommend to the Board of Selectmen to approve the proposed contract. Paula seconded. Motion passed unanimously. An appointment with the Selectmen has been scheduled for April 3, 2018 to outline the proposed contract and officially make our recommendation. All committee members are encouraged to attend, therefore it will be a posted meeting. Paula read the draft minutes to the Committee. Menard) passed Cable Advisory Legal Representative Update ● Town Hall states we should get an answer on legal representation shortly Review and Discuss Cable License Renewal Procedures ● We reviewed the process and duties we needed to perform to complete the process, we decided to split the responsibilities up as followed: ○ B. Vienneau will conduct a tour of the operating facilities ○ K. Menard and S. Archambault will continue to review the surrounding towns' licence agreements with Comcast, K. Menard recommended ensuring we select towns that are a similar size to Lunenburg itself ○ T. Bodkin will reach out to the school system and see what their needs are ○ S. Archambault will check with the Library and Town Teen Center ○ K. Menard will do the same for the town’s departments ○ S. Archambault will check for a map of the town’s current service area ○ We will check if B.
